General Terms and Conditions of Sale
Article 1 - Legal Information
The present General Terms and Conditions of Sale (GTC) govern the contractual relationship between:
CCH BUSINESS, a single-member simplified joint-stock company (SASU), registered with the CHAUMONT Trade and Companies Register under number 93430487400019, conducting its business under the commercial name Parabellum Systems, whose registered office is located at 23 place du village 52150 Outremécourt.

Hereinafter referred to as “the Provider” or “Parabellum Systems”,
And any natural or legal person subscribing to a subscription via the website www.parabellumsystems.io, hereinafter referred to as “the Client”.
Article 2 - Purpose
The present GTC aim to define the conditions under which Parabellum Systems provides the Client with a service for hosting and maintaining automated workflows (hereinafter referred to as “the Services”), as part of a monthly subscription with tacit renewal.
Article 3 - Offered Services
3.1 Description
The subscribed subscription includes:
Hosting of automated workflows developed by the Client or by Parabellum Systems
A certain number of hours of included monthly maintenance (depending on the chosen plan)
Technical support via email
The detailed characteristics of each subscription plan are communicated to the Client by email or by any contractual document at the time of subscription.
3.2 Evolution of services
Parabellum Systems reserves the right to evolve its services, to add or withdraw them, provided that the Client is informed via email at least 30 days before the changes take effect.
Article 4 - Subscription and access to the service
4.1 Subscription conditions
Subscription to a plan is reserved for:
Legally capable adults
Legal entities represented by a duly authorized representative
The Client guarantees the accuracy of the information provided at the time of subscription.
4.2 Subscription process
The subscription occurs after a prior exchange with Parabellum Systems. The process is as follows:
Contact and discussion about the Client's needs
Validation of the project and appropriate subscription plan
Sending by Parabellum Systems of a secure payment link through Stripe to the Client
Validation of the order by the Client via the payment link
Acceptance of these GTC during the payment process
Receipt of the first payment
The subscription becomes effective after payment validation.
4.3 Activation of the service
The service is activated within a maximum period of 5 business days following the receipt of the first payment, unless otherwise agreed between the parties.
Article 5 - Prices and payment methods
5.1 Prices
The prices of the subscriptions are expressed in euros excluding taxes (HT). VAT at the applicable rate (20% at the time of writing these GTC) is added to the HT amount for taxable clients.
The applicable rates are those communicated to the Client during the subscription process and confirmed in the payment link sent by Parabellum Systems.
5.2 Price revision
Parabellum Systems reserves the right to change its prices at any time. Any price change will be notified to the Client by email at least 30 days before its application.
In the event of a price increase, the Client has 30 days to terminate their subscription without penalty. Failing termination within this period, the new price will automatically apply to the next due date.
5.3 Payment methods
Payment is made by direct debit via the secure Stripe payment platform. The Client must necessarily register a valid payment method (credit card or SEPA transfer) at the time of subscription.
Payments are made monthly, on the anniversary date of the subscription.
5.4 Default of payment
In case of payment default:
The service will be suspended after a 7-day period following the unpaid due date
The Client will be informed by email
Late payment penalties of 10% of the amount due may be applied
A fixed compensation of €40 for collection costs will be demanded (Article L.441-10 of the Commercial Code)
If payment is not regularized within 30 days, Parabellum Systems reserves the right to terminate the subscription and delete the Client's data.
Article 6 - Duration and renewal
6.1 Duration
The subscription is made for a duration of one month, starting from the activation date of the service.
6.2 Tacit renewal
Unless terminated by the Client under the conditions provided for in article 7, the subscription is automatically renewed every month by tacit renewal, for an equivalent duration.
Article 7 - Termination
7.1 Termination by the Client
The Client may terminate their subscription at any time, without reason and without penalty, provided they comply with the following conditions:
The termination request must be made by email to the address: support@parabellumsystems.io
The termination takes effect at the end of the current month
No pro-rata refund will be made for the current period
7.2 Termination by Parabellum Systems
Parabellum Systems may terminate the subscription in the following cases:
Payment default not regularized after a formal notice that goes unanswered for 30 days
Serious breach by the Client of their contractual obligations
Fraudulent or abusive use of the service
Force majeure making the execution of the contract impossible
The termination will take effect 15 days after sending a notification email to the Client, except in cases of proven fraud (immediate termination).
Article 8 - Provider's obligations
Parabellum Systems commits to:
Provide the service diligently and professionally
Ensure the availability of the hosted service, with a target availability of 99% (excluding scheduled maintenance)
Inform the Client of any scheduled maintenance at least 48 hours in advance
Ensure regular backup of the hosted data
Respect the confidentiality of the Client's data
Parabellum cannot be held responsible:
For service interruptions due to a force majeure event
For malfunctions related to the equipment or Internet connection of the Client
For data loss resulting from a fault of the Client (voluntary deletion, mishandling, etc.)
Article 9 - Client's obligations
The Client commits to:
Provide accurate information when subscribing
Use the service in accordance with its purpose and in compliance with applicable laws
Not use the service for illegal, fraudulent purposes or in violation of third-party rights
Maintain a valid payment method
Inform Parabellum Systems of any changes in contact details or situation that could affect the execution of the contract
The Client is solely responsible for the use they make of the hosted workflows and the data they integrate into them.
Article 10 - Intellectual Property
10.1 Workflows developed by Parabellum Systems
The workflows, scripts, automations, and any element created by Parabellum Systems in the course of a service remain the intellectual property of Parabellum Systems, unless explicitly transferred under a specific contract.
The Client benefits from a non-exclusive, non-transferable right of use within their subscription.
10.2 Workflows developed by the Client
The workflows created by the Client or on their behalf remain their property. Parabellum Systems commits to not using, copying, or distributing them without prior authorization.
Article 11 - Personal Data
The processing of the Client's personal data is governed by the Privacy Policy of Parabellum Systems, available at www.parabellumsystems.io/politique-de-confidentialite.
In accordance with the GDPR, the Client has the right of access, rectification, erasure, limitation, opposition, and portability of their personal data.

Article 12 - Liability and Guarantees
12.1 Limitation of liability
The liability of Parabellum Systems is limited to direct and foreseeable damages resulting from proven fault in the execution of the contract.
In any case, the liability of Parabellum Systems cannot exceed the total amount of sums paid by the Client in the 12 months preceding the event giving rise to liability.
12.2 Exclusions
Parabellum Systems cannot be held liable:
For loss of turnover, clients, or any indirect loss
For damages resulting from non-compliant use of the service
For interruptions due to a force majeure event
For the failure of a third-party service used in the workflows (external APIs, SaaS services, etc.)
Article 13 - Force Majeure
The execution of Parabellum Systems' obligations is suspended in the event of a force majeure event as defined by French jurisprudence.
If the force majeure event persists beyond 60 days, each party may terminate the contract without compensation.
Article 14 - Right of Withdrawal
Important: In accordance with Article L.221-28 of the Consumer Code, the right of withdrawal does not apply to contracts for the provision of a digital content not provided on a tangible medium, the execution of which has started after the consumer's prior express agreement and express waiver of their right of withdrawal.
By subscribing to the plan and accepting that the service be activated immediately, the Client acknowledges and expressly agrees to waive their right of withdrawal.
Article 15 - Refund
The sums paid under the subscription are non-refundable, even in the case of early termination by the Client.
The service remains accessible until the end of the paid period.
Article 16 - Mediation and Dispute Resolution
16.1 Consumer Mediation
In accordance with Article L.612-1 of the Consumer Code, the consumer Client has the option to resort to a consumer mediator free of charge in the event of a dispute.

16.2 Applicable Law and Jurisdiction
The present GTC are governed by French law.
In case of dispute and failing an amicable solution, the dispute will be brought before the competent courts of the jurisdiction of the registered office of Parabellum Systems (Chaumont, France), unless otherwise provided by law.
Article 17 - Acceptance of the GTC
The act of subscribing to a plan implies the Client's full and unconditional acceptance of these General Terms and Conditions of Sale.
Article 18 - Modification of the GTC
Parabellum Systems reserves the right to modify these GTC at any time. The applicable GTC are those in force at the date of subscription or renewal of the subscription.
Any substantial modification will be notified to the Client by email at least 30 days before its entry into force.
Article 19 - Partial Invalidity
If one or more provisions of these GTC are deemed invalid or declared as such under a law, regulation, or following a final decision of a competent jurisdiction, the other provisions will retain all their strength and scope.
